Terms of service

The service provider is SIA WebRuins, registration number 40203729219, Aglonas iela 33-50, Rīga, LV-1057 (hereinafter WebRuins). The client is the company or person who approves a quote. By approving a quote, the client accepts these terms.

WebRuins offers three website tiers: Essential from €250, Professional from €500 and Premium from €800, as well as upkeep at €30 a month.

The starting price covers the scope described for the tier. The exact price is set in the quote and does not change during the work unless the client changes the scope.

After the free call, WebRuins sends a written quote with the tier, the price, the deadline and the content list. The period for which the quote is valid is stated in the quote itself. The order takes effect when the client approves the quote in writing, including by email.

Changes to the scope after approval are agreed separately by the parties; they may change the price and the deadline.

The client provides the text, images, logo and other content according to the list in the quote, and is responsible for holding the rights to use that content. The client answers questions and gives approvals promptly, so the work can continue.

WebRuins is not liable for a shift in the deadline caused by late content or late answers. By agreement, the site can be published with the content available and the missing parts added later as part of upkeep.

The delivery time is counted in days from the moment all the content listed in the quote has been received. WebRuins sends a link to the preview; the client submits corrections in one collected list, within the scope set in the quote.

The site is treated as accepted when the client approves it in writing, or when it has been published at the client's request.

Invoices are issued according to the quote, and the payment term is stated on the invoice. By agreement, the development sum can be split into monthly payments, for example, Professional as 5 × €100; the schedule is written into the quote.

If a payment is late, WebRuins may suspend the work or the upkeep until it is paid, giving notice by email beforehand.

When paying in instalments the total equals the one-off price; no surcharge is applied.

Upkeep costs €30 a month and covers hosting, an SSL certificate, backups, updates, security monitoring and 3 hours of content edits a month. Unused hours do not carry over to the next month.

There is no minimum term. The client may cancel the upkeep in any month by notice to info@webruins.com, with no contractual penalty; it then runs to the end of the month already paid for. After cancellation WebRuins hands the website files and data to the client; WebRuins no longer provides hosting or backups after that.

Ownership of the website, its design and its code passes to the client once the development sum has been paid in full, including where payment is made in instalments. Until then the website is the property of WebRuins and the client uses it by agreement.

The client's content, logo and domain remain the property of the client throughout. WebRuins reserves the right to show an image of the site and its name in its own portfolio, unless the client objects in writing. Third-party components remain the property of their authors and are used under the terms of their licences.

WebRuins is responsible for the site working as set out in the quote. WebRuins is not liable for the content supplied by the client, for interruptions in third-party services (hosting, email, payments) outside its control, or for loss of profit.

Upkeep does not include a guarantee that the site will be available without any interruption; WebRuins undertakes to remedy faults without undue delay.

The total liability of WebRuins does not exceed the sum the client has paid for the service in question over the last 12 months.

These terms are governed by the law of the Republic of Latvia. Disputes are settled by negotiation first; if no agreement is reached, the dispute is heard by a court of the Republic of Latvia with jurisdiction over the matter.
